Affiliate Terms and Conditions
MindCoachers
MindCoachers operates as a split structure, disclosed here so there is no ambiguity about who you are agreeing with.
- MindCoachers Ltd, registered in England and Wales, registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, owns and operates the mindcoachers.com website, the AffiliateWP platform, and the affiliate tracking infrastructure referenced throughout this Agreement.
- Frédéric Giraud, trading as MindCoachers and registered as an autónomo in Spain, is the contracting party for the training services that generate commissionable enrolments, and is the party responsible for commission payments to you under this Agreement.
References to “MindCoachers,” “we,” “us,” or “our” in this Agreement mean MindCoachers Ltd and/or Frédéric Giraud trading as MindCoachers, as the context requires — the website and platform obligations sit with MindCoachers Ltd, and the commission and payment obligations sit with Frédéric Giraud. This dual structure is disclosed to you now, in full, as a condition of your acceptance.
These Affiliate Terms and Conditions (“Agreement”) govern participation in the MindCoachers Affiliate Programme (“Programme”) for the MCMI — MindCoachers Certified Mindfulness Instructor — training and any other current or future MindCoachers products or services. By submitting the affiliate registration form, ticking the acceptance checkbox, and/or receiving Programme access, you (“Affiliate,” “you”) agree to be bound by this Agreement.

1. Acceptance and Scope
Your participation in the Programme is solely to lawfully advertise and refer prospective trainees to MindCoachers in exchange for commission on enrolments that result directly from your referral, as tracked through AffiliateWP.
By completing the AffiliateWP registration form and ticking the acceptance checkbox, you create a timestamped electronic record of your acceptance of this Agreement, which has the same legal effect as a handwritten signature.
This Agreement applies to all current and future MindCoachers cohorts and products unless we notify you of programme-specific terms at the time of a new launch.
2. Application, Approval and Eligibility
Registration is via self-service sign-up through the AffiliateWP portal. All applications are subject to manual review and approval before any affiliate link becomes active.
We reserve the right to approve or decline any application at our sole and absolute discretion, including without providing a reason. You will have no claim against MindCoachers Ltd or Frédéric Giraud arising from a declined application.
You must be at least 18 years old and capable of entering a binding agreement in your country of residence to apply.
You may not refer yourself, your own household, or any account you control, and no commission is payable on such referrals.
3. Commission Structure
Commission rates, tier thresholds, and the cookie tracking window are configured and displayed live inside the AffiliateWP dashboard and on the current Affiliate Programme page, and are not fixed in this Agreement. This allows tiers to be adjusted as the Programme grows without reissuing these Terms. The rate that applies to any given referral is the rate in force in AffiliateWP at the date that referral converts into a paid enrolment.
- Commission is calculated as a percentage of the net enrolment fee actually received by us, excluding VAT/IVA where applicable, refunds, chargebacks, and payment processor fees.
- Current commission tiers, referral thresholds for tier upgrades, and the active cookie/tracking window are published and kept up to date at the affiliate dashboard and registration page rather than in this document.
- We may introduce, remove, or change commission tiers, rates, or the cookie duration at any time, effective for referrals made after the change is published in AffiliateWP. Changes are not retroactive to commissions already earned and confirmed.
- Tier upgrades, where offered, apply automatically once the published referral threshold is reached, based on AffiliateWP’s tracked totals.
4. Tracking, Cookies and Attribution
Referrals are tracked exclusively through AffiliateWP using your unique referral link and/or coupon code, where issued. AffiliateWP’s tracking records are the sole and final source of truth for attribution disputes; manual claims of a referral not reflected in AffiliateWP cannot be honoured.
Cookie-based tracking is subject to the visitor’s browser settings, ad blockers, and consent choices, and may not capture every referral. We are not liable for referrals that fail to track due to technical limitations, including cleared cookies, private browsing, or cross-device journeys.
Where a prospective trainee is referred by more than one affiliate, the commission is attributed according to AffiliateWP’s last-touch (or currently configured) attribution rule, as set in the live dashboard.
5. Payment of Commissions
For an Affiliate to receive a commission, the referred enrolment must be a completed, paid transaction that has cleared any applicable cooling-off or cancellation period under EU consumer law, and remained active without cancellation or chargeback for the minimum qualifying period stated in the AffiliateWP dashboard.
Commissions on instalment-plan enrolments are paid proportionally as each instalment clears, not as a single lump sum at enrolment.
Payments are made by Frédéric Giraud, trading as MindCoachers, via the payment method and on the schedule configured in AffiliateWP. We reserve reasonable margin to verify a transaction before release; payment timing shown in AffiliateWP or on the affiliate page is an estimate, not a guaranteed date.
No commission is payable on transactions that are refunded, charged back, disputed, or never successfully completed, even if commission was provisionally shown as pending in your dashboard.
You are solely responsible for declaring and paying any tax due on commissions in your jurisdiction of residence. We do not withhold tax on your behalf unless legally required to do so.
6. Affiliate Conduct and Marketing Rules
You may use the graphics, copy blocks, video assets, and links we provide in your affiliate portal, or create your own materials, provided they comply with this section.
- You must disclose your affiliate relationship clearly in any promotion that could reasonably be considered an endorsement, consistent with FTC guidance, UK ASA/CAP rules, and equivalent EU advertising-disclosure laws applicable to your audience.
- You must not make false, misleading, or unsubstantiated claims about the MCMI, its outcomes, its accreditation status, or any credential a graduate may obtain.
- You must not bid on, or otherwise misuse, MindCoachers’ brand terms, trademarks, or close variants in paid search advertising without our prior written permission.
- You must not spam — including unsolicited mass email, mass social messaging, or mass forum/newsgroup posting — to generate referrals.
- You must not advertise MindCoachers on websites or channels that host or promote illegal activity, hate speech, or content that could bring MindCoachers into disrepute.
- You must not offer rebates, cashback, or kickbacks from your commission as an inducement to enrol. Bundling your own independent products or services alongside a genuine recommendation is acceptable.
- You must not generate pop-ups, pop-unders, iframes, or any cookie-setting mechanism that fires before a visitor has knowingly and intentionally clicked your link.
7. Intellectual Property
All MindCoachers names, logos, copy, video, and curriculum materials remain the exclusive property of MindCoachers Ltd and/or Frédéric Giraud as applicable. Your licence to use them is limited to genuine promotion of the Programme under this Agreement and ends immediately on termination of your affiliate status.
We reserve the right to require a separate licence agreement from any affiliate using MindCoachers trademarks in a manner beyond the standard portal assets, and to request takedown of any non-compliant use at any time.
8. Term, Suspension and Termination
This Agreement begins on the date your application is approved in AffiliateWP and continues until terminated by either party.
We may suspend or terminate your affiliate status at any time, with or without cause, including for any breach of Section 6 (Affiliate Conduct), suspected fraud, self-referral, or any conduct that we reasonably consider damaging to MindCoachers’ reputation. Where reasonably practicable we will give notice of the reason; this is a courtesy, not an obligation.
On termination, any commission already earned on completed, non-refunded, non-disputed enrolments prior to the termination date remains payable on the normal schedule. No further referrals after the termination date will be tracked or commissioned.
You may terminate your participation at any time by written notice to info@mindcoachers.com. Outstanding earned commissions will still be paid on the normal schedule.
9. Disclaimers and Limitation of Liability
The Programme, the AffiliateWP platform, and our website are provided “as is.” We do not warrant that tracking, the website, or the Programme will be uninterrupted or error-free.
To the maximum extent permitted by applicable law, MindCoachers Ltd and Frédéric Giraud shall not be liable for any indirect, incidental, or consequential loss, including loss of anticipated commission, arising from tracking failures, technical errors, data loss, or any third-party act, whether or not we have been advised of the possibility of such loss.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under the law of your country of residence, including any non-excludable consumer protections that may apply to you.
10. Indemnification
You agree to indemnify and hold harmless MindCoachers Ltd, Frédéric Giraud, and their respective officers, employees, and successors from any claims, damages, fines, or reasonable legal costs arising from your breach of this Agreement, your marketing conduct, or your misrepresentation of the Programme to a third party.
11. Changes to This Agreement
We may amend this Agreement at any time. Material changes will be notified by email to the address on your affiliate account or posted on the affiliate page with an updated “last revised” date. Continued participation in the Programme after a change takes effect constitutes acceptance of the revised terms. If a change is unacceptable to you, your sole remedy is to terminate your participation under Section 8.
12. Governing Law and Disputes
This Agreement, and any dispute or claim arising out of or in connection with it (including non-contractual disputes), is governed by and construed in accordance with the laws of England and Wales.
Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer-protection legislation in your country of residence entitles you to bring proceedings in your local courts instead. Where you qualify as a consumer rather than a business under the law of your country of residence, that mandatory local protection is not displaced by this clause.
If you are a UK-resident affiliate and a complaint cannot be resolved directly, you may use a certified ADR provider listed in the UK Government’s ADR directory. If you are an EU-resident affiliate, the EU Online Dispute Resolution platform may also be available to you.
