Introduction & Parties

This website is owned and operated by MindCoachers Ltd, a company incorporated in England and Wales (Companies House registration number: [to be confirmed upon incorporation]), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

These Terms and Conditions (“Terms”) govern the contractual relationship for training services between Frédéric Giraud (“the Service Provider,” “we,” “us”), a registered autónomo under Spanish law (NIE: X5519940D), trading as MindCoachers, with a business address at Calle Cavite 69, Valencia 46011, Spain, and the individual (“you,” “the Participant,” or “the Trainee”) who enrols in the MindCoachers Certified Mindfulness Instructor (MCMI) Training.

By completing the enrolment process and making payment (or the first instalment), you enter into a legally binding agreement with Frédéric Giraud, trading as MindCoachers, as the contracting service provider, delivered through the MindCoachers platform operated by MindCoachers Ltd.

These Terms apply exclusively to the MCMI Training. Separate terms govern any other MindCoachers offerings.

About the Training

The MCMI is a 12-week online professional training accredited by the International Mindfulness Teachers Association (IMTA) at the 200-hour professional level. It is designed to equip qualified professionals with the knowledge, methodology, and practice required to teach mindfulness in professional and clinical contexts.

Eligibility & Enrolment

Eligibility requirements

Enrolment is open to professionals who meet all of the following criteria:

  • At least 2 years of professional experience in coaching, counselling, therapy, HR/organisational development, education, or an allied health field
  • An established personal mindfulness practice of at least 6 months’ duration
  • Proficiency in English at a level sufficient to engage with course materials and peers
  • Ability to commit to the full 12-week schedule including live session attendance

MindCoachers reserves the right to decline any application where eligibility requirements are not met. If we determine that you do not meet the eligibility criteria after enrolment, we will contact you to discuss options, which may include a full refund.

How enrolment is completed

Enrolment is completed when: (a) you submit the enrolment form at mindcoachers.com/en/mcmi-enroll/, (b) you confirm your agreement to these Terms, and (c) your first payment is received and confirmed by MindCoachers. A confirmation email will be sent to the address provided on your enrolment form within 2 working days of confirmed payment.

Cohort places

Places in each MCMI cohort are limited. Enrolment is on a first-come, first-served basis upon confirmed first payment. MindCoachers does not hold places on the basis of an expression of interest alone. The enrolment deadline for each cohort is published on the Enrolment page and confirmed in your application approval email.

Fees & Payment

Base currency & billing

All MCMI Training fees are priced and billed in Euros (EUR). This applies to all participants regardless of country of residence. Approximate equivalents in GBP and USD are displayed on the Enrolment page for reference only — they are not fixed prices. Your card issuer or bank converts the EUR amount at the exchange rate applicable on the date of your payment. MindCoachers is not responsible for exchange rate fluctuations, bank conversion fees, or any difference between the indicative GBP/USD figures shown and the amount ultimately charged to your account.

Pricing tiers — full payment

Full payment pricing operates on a time-limited tier system. Earlier registration attracts a lower fee. All tiers and their applicable windows are displayed on the Enrolment page and confirmed in your enrolment confirmation email. The fee applicable at the time your enrolment is processed is the fee that applies — tier transitions are automatic and MindCoachers cannot retrospectively apply an earlier tier rate.

All fees include access to all 12 modules, live session materials, the learning community platform, and IMTA certification processing upon successful completion.

Enrolment Commitment Fee

How the Enrolment Commitment Fee works

What it is: A non-refundable Enrolment Commitment Fee of €500 (approximately £430 / $540 — billed in EUR) applies to all enrolments, regardless of payment method chosen. It is not an additional charge — it forms part of the total tuition fee.

Full payment: The first €500 of your upfront payment constitutes the Enrolment Commitment Fee. The remaining balance is subject to the refund schedule in Section 6.

Instalment plan: The €500 first payment is your Enrolment Commitment Fee. The three subsequent monthly balance payments are subject to the refund schedule in Section 6.

Credit toward a future cohort: While the Enrolment Commitment Fee is non-refundable in cash, should your professional circumstances change and you are unable to proceed, MindCoachers may credit this amount toward a future cohort at our discretion. Such requests must be made in writing before the cohort start date.

Payment options

Two payment methods are available at the time of registration:

  • Full payment: The total tuition fee for your applicable pricing tier is paid in a single transaction at registration. The first €500 constitutes the non-refundable Enrolment Commitment Fee; the remainder is refundable per Section 6.
  • Instalment plan: €500 is charged at registration (the Enrolment Commitment Fee), followed by three equal monthly balance payments charged automatically at 30, 60, and 90 days after your registration date.

Instalment plan — two tiers

The instalment plan has two pricing tiers based on registration date, to reflect different commitment and planning horizons. Both tiers use the same €500 first payment and the same 30/60/90-day structure — only the monthly balance amount differs. The applicable tier and amounts are displayed on the Enrolment page at the time of registration and confirmed in your enrolment email.

Standard instalment — earlier registration

Available to participants who register by the standard instalment deadline published on the Enrolment page. Total cost is equivalent to the standard full payment price. Structure: €500 at registration + 3 equal monthly balance payments at 30, 60, and 90 days after registration.

Late instalment — later registration

Available to participants who register after the standard instalment deadline and up to the enrolment closing date. A premium applies to reflect both later registration and the payment flexibility provided — the total cost is higher than the standard full payment rate. This is stated plainly on the Enrolment page. Structure: €500 at registration + 3 equal monthly balance payments at 30, 60, and 90 days after registration.

Instalment plan — important notice

All balance payments must be made in full for your place to be confirmed and for your certification to be issued. If a balance payment fails or is more than 7 days overdue, MindCoachers reserves the right to suspend your access to the platform and course materials until payment is received. If outstanding payment is not made within 14 days of the due date, MindCoachers may withdraw your place and the cancellation policy in Section 6 will apply.

Payment method

Payments are processed securely via the enrolment form on the MindCoachers website. All transactions are handled by Stripe. Accepted payment methods are displayed at the point of checkout. MindCoachers does not store card details. Instalment balance payments are charged automatically to the payment method provided at registration — it is your responsibility to ensure the payment method remains valid for the duration of the instalment period.

Invoices & VAT

A payment confirmation and invoice will be issued automatically upon each successful payment. If you require a specific invoice format for employer reimbursement or tax purposes, contact us at the address in Section 17. Training services are provided by Frédéric Giraud, trading as MindCoachers, a registered autónomo in Spain; Spanish VAT rules apply where applicable. MindCoachers Ltd operates the website as a UK-registered entity. For participants outside Spain, your local tax treatment of training fees may vary — please consult your tax adviser.

Cooling-Off Period

UK Statutory Right — Consumer Contracts

If you are a consumer (i.e. not purchasing on behalf of a business entity), you have a statutory right to cancel your contract within 14 calendar days of the date of enrolment confirmation, without giving any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and equivalent legislation applicable in your country of residence.

How to exercise your cooling-off right

To exercise your right to cancel within the 14-day cooling-off period, you must notify us by sending a clear written statement of your decision to cancel to training@mindcoachers.com before the cooling-off period expires. You may use the model cancellation statement below, but this is not obligatory:

“I hereby give notice that I cancel my contract for the MCMI Training. Name: [your full name]. Enrolment date: [date]. Email used at enrolment: [email].”

Upon receipt of a valid cooling-off cancellation, MindCoachers will refund all fees paid in full — including the €500 Enrolment Commitment Fee — within 14 calendar days using the same payment method as the original transaction.

Cancellation & Refund Policy

The following policy applies to cancellations made after the 14-day cooling-off period described in Section 5, or to participants not entitled to that right.

Enrolment Commitment Fee

The €500 Enrolment Commitment Fee is non-refundable in all circumstances once the 14-day cooling-off period has expired. This applies regardless of payment method:

  • Full payment participants: The first €500 of your total payment is non-refundable. The remaining balance is subject to the schedule below.
  • Instalment plan participants: Your €500 first payment is non-refundable. Any subsequent balance payments already made are subject to the schedule below.

As noted in Section 4, MindCoachers may at its discretion credit the €500 toward a future cohort if you cancel for documented professional or personal reasons before the cohort start date.

Balance refund schedule

Any fees paid beyond the €500 Enrolment Commitment Fee are subject to the following refund schedule, calculated from the confirmed cohort start date:

Medical, compassionate & force majeure exceptions

MindCoachers recognises that exceptional circumstances arise. If you are unable to continue your participation due to a documented serious medical condition, bereavement, or other significant unforeseeable life event, you may apply for a discretionary credit or deferral to a future cohort. Requests must be submitted in writing with supporting documentation as soon as reasonably possible. MindCoachers will review each case on its merits. A deferral does not guarantee a place in a future cohort but we will make every reasonable effort to accommodate you.

How to cancel

All cancellation requests must be submitted in writing to training@mindcoachers.com with the subject line “MCMI Cancellation — [your full name]”. The cancellation date is the date on which MindCoachers receives your written request. Verbal cancellations will not be accepted.

Transfers

Enrolment places are personal and non-transferable. If you are unable to proceed, please contact us — in exceptional circumstances we may be able to defer your place to a subsequent cohort at our discretion.

Cohort Viability

Minimum cohort threshold

Each MCMI cohort requires a minimum of 15 enrolled participants to proceed as planned. If this threshold is not reached by the published enrolment deadline, MindCoachers reserves the right to cancel the cohort.

In the event of cohort cancellation under this clause, all enrolled participants will receive a full refund of all fees paid — including the €500 Enrolment Commitment Fee — within 14 calendar days of the cancellation notice. MindCoachers will also endeavour to offer affected participants priority enrolment in a rescheduled cohort.

MindCoachers will communicate the final cohort status to all enrolled participants no later than one week before the confirmed cohort start date. If you have not received confirmation by this date, please contact us.

Training Delivery & Format

Online delivery

The MCMI Training is delivered entirely online. Participants are responsible for ensuring they have access to a reliable internet connection, a device capable of participating in video conference sessions, and a quiet, private space suitable for practice and learning.

MindCoachers is not liable for any interruption to participation caused by the participant’s own equipment, internet service, or technical environment.

Live sessions

The training includes scheduled live workshops delivered via video conferencing (platform details provided in the onboarding materials). Live session dates and times will be confirmed at least one week before the cohort start date. Where possible, sessions will be recorded for participants who are unable to attend live, subject to any technical or consent limitations.

Asynchronous materials

Between live sessions, participants are expected to engage with self-paced learning materials, practice assignments, and community activities hosted on the MindCoachers online platform. Platform access is granted upon confirmed enrolment and remains active throughout the 12-week training period, and for a defined period thereafter as specified in the onboarding materials.

Peer Learning Workshops

The training includes structured Peer Learning Workshops as a core pedagogical component. These workshops require active participation with fellow trainees in a practice-teaching format. Details are set out in the Prospectus and onboarding materials.

The Teaching Circle community

Enrolled participants gain access to the MindCoachers Teaching Circle community, including the Cohort Space during the 12-week training and The Commons thereafter. Use of community spaces is subject to the Code of Conduct in Section 12.

Attendance & Participation

Active and consistent participation is central to the pedagogy of the MCMI and is required for certification. Participants are expected to:

  • Attend a minimum of 80% of scheduled live sessions. Participants who fall below this threshold may be required to complete remedial work to fulfil certification requirements
  • Complete all assigned practice and reflection activities between modules
  • Participate constructively in Peer Learning Workshops and community spaces
  • Maintain a consistent personal mindfulness practice throughout the training period
  • Engage with the training from a place of professional integrity and respect for fellow participants

MindCoachers will make reasonable accommodations for participants who notify us in advance of known scheduling conflicts or personal circumstances affecting attendance. However, repeated or unexplained non-engagement may result in the withdrawal of certification eligibility without entitlement to a refund.

Certification Requirements

The MCMI certification — MindCoachers Certified Mindfulness Instructor — is issued to participants who successfully meet all of the following requirements:

  • Completion of all 12 modules of the curriculum
  • Attendance at a minimum of 80% of live sessions
  • Submission and satisfactory completion of all practice-teaching assignments
  • Demonstrated personal mindfulness practice consistent with IMTA standards
  • Full payment of all fees (participants with outstanding instalments will not receive certification until payment is complete)
  • Compliance with the Code of Conduct throughout the training
Certification timeline

Certificates are typically issued within 4 weeks of successful completion of all requirements. MindCoachers will notify participants by email when their certificate is ready.

MindCoachers cannot guarantee that the MCMI certification will satisfy the requirements of any specific regulatory body, professional association, or employer. Participants are responsible for verifying that the MCMI meets their own professional development requirements before enrolling.

Intellectual Property

All materials provided as part of the MCMI Training — including but not limited to slides, recordings, workbooks, scripts, exercises, guided practices, assessments, and the MindCoachers Curriculum — are the intellectual property of MindCoachers (Frédéric Giraud) and are protected by applicable copyright law.

As a participant, you are granted a personal, non-exclusive, non-transferable licence to access and use these materials solely for the purpose of your own professional development and practice. This licence does not permit you to:

  • Copy, reproduce, or distribute course materials (in whole or in part) to third parties
  • Use course materials in any commercial or for-profit context without express written permission from MindCoachers
  • Record live sessions without prior written consent from MindCoachers and all other session participants
  • Share login credentials, session links, or platform access with non-enrolled individuals

Participants retain full ownership of their own reflective writing, assignments, and original work produced during the training. By submitting such work, you grant MindCoachers a non-exclusive licence to use anonymised excerpts for training improvement and promotional purposes, unless you expressly opt out.

Code of Conduct

The MCMI Training is a professional community grounded in mindfulness values. All participants are expected to conduct themselves with respect, integrity, and care for others at all times — in live sessions, community spaces, and all interactions with fellow participants, facilitators, and MindCoachers staff.

Expected behaviours

  • Treating all participants and faculty with dignity and respect regardless of background, culture, identity, or professional opinion
  • Maintaining confidentiality regarding personal disclosures made by others in the training community
  • Engaging authentically in practice and not misrepresenting your experience or qualifications
  • Raising concerns or disagreements constructively and through appropriate channels
  • Acting in accordance with your own professional code of ethics at all times

Unacceptable behaviours

The following behaviours are not compatible with participation in the MCMI Training and may result in immediate removal without refund:

  • Harassment, discrimination, or abusive behaviour of any kind directed at participants, faculty, or MindCoachers staff
  • Deliberate breach of participant confidentiality
  • Misuse of community platforms for commercial solicitation unrelated to the training
  • Serious or repeated breaches of intellectual property terms (Section 11)
  • Conduct that undermines the psychological safety or wellbeing of the learning community

MindCoachers reserves the right to remove a participant who breaches this Code of Conduct. In the case of removal for conduct reasons, no refund will be issued. Any concerns about conduct should be reported to MindCoachers at the contact address in Section 17.

Faculty & Programme Changes

MindCoachers will make every reasonable effort to deliver the MCMI Training as described in the Prospectus. However, circumstances may require changes, and we reserve the right to:

  • Substitute a named guest teacher or specialist with an equally qualified alternative, with reasonable notice to participants
  • Modify the scheduling of individual sessions or workshops, provided the 12-week structure and total contact hours are preserved
  • Adjust the sequencing or content of individual modules in response to participant needs or IMTA guidance
  • Change the video conferencing platform or learning management system used to deliver the training, with appropriate notice and technical support

Changes that materially alter the fundamental nature of the training — for example, changes to the total curriculum length, the IMTA accreditation status, or the primary Training Director — will be communicated promptly. In the event of a change that you consider material and that you did not agree to, you may cancel your enrolment and receive a pro-rata refund for the portion of the training not yet delivered, subject to the terms of Section 6.

MindCoachers will not be liable for changes or cancellations caused by circumstances beyond our reasonable control, including but not limited to force majeure events, acts of government, public health emergencies, or IMTA policy changes outside our control.

Data Protection

MindCoachers Ltd processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. MindCoachers Ltd is registered as a data controller with the Information Commissioner’s Office (ICO) (registration number: [to be confirmed upon incorporation]).

Data we process

When you enrol, we collect and process personal data including your name, email address, professional background, and payment information as necessary to administer your participation in the MCMI Training. We do not sell personal data to third parties.

Lawful basis

Processing is carried out on the basis of: (a) contractual necessity — to fulfil our obligations under this agreement; (b) legitimate interests — to communicate programme updates and improvements; and (c) consent — for marketing communications, which you may withdraw at any time.

International data transfers

As participants may be located outside the UK, personal data may be transferred internationally. Where required, MindCoachers Ltd will ensure that appropriate safeguards are in place (such as Standard Contractual Clauses or UK adequacy decisions) before any such transfer takes place.

Data retention

Your data is retained for as long as is necessary to fulfil the purposes described above and to comply with our legal obligations (including UK tax record-keeping requirements under HMRC rules). Certification records are retained indefinitely as part of our IMTA compliance obligations.

Your rights

Under UK GDPR you have the right to access, rectify, or erase your personal data, to restrict or object to processing, and to data portability, subject to applicable limitations. You also have the right to lodge a complaint with the ICO at ico.org.uk. To exercise any of these rights, contact us at privacy@mindcoachers.com.

Limitation of Liability

To the fullest extent permitted by applicable law, MindCoachers’ liability to you in connection with the MCMI Training is limited to the total fees paid by you in respect of that training.

MindCoachers will not be liable for:

  • Indirect, consequential, or special losses, including loss of income, loss of business, or loss of anticipated professional opportunity arising from your participation in or non-completion of the training
  • Losses arising from your own equipment, internet connectivity, or third-party service failures
  • The decisions, conduct, or disclosures of other participants in community spaces
  • Your failure to achieve any specific professional or personal outcome from the training

Nothing in these Terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

MindCoachers does not provide medical, therapeutic, or clinical advice. The MCMI Training is a professional education programme. Participation does not constitute a therapeutic relationship. If you are experiencing mental health difficulties, please seek appropriate professional support.

Governing Law & Jurisdiction

These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection legislation in your country of residence provides for an alternative forum. If you are a consumer in Scotland or Northern Ireland, you may also bring proceedings in your local courts.

If you are a UK consumer and we are unable to resolve a complaint to your satisfaction, you may seek alternative dispute resolution through a certified ADR provider. Details of approved ADR schemes are available from the UK Government’s ADR directory.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire agreement

These Terms, together with the Enrolment Form and any written confirmation from MindCoachers, constitute the entire agreement between the parties regarding the MCMI Training and supersede all prior representations, negotiations, or understandings (whether oral or written).

Amendments

MindCoachers may update these Terms from time to time. Any material changes will be communicated to enrolled participants by email at least 14 days before taking effect. Your continued participation constitutes acceptance of updated Terms.
